JOB DESCRIPTION

The Office of General Counsel at the University of Indianapolis is accepting applications for a Contracts Manager. This is a full-time, exempt staff position. The Contracts Manager receives direction from the General Counsel on work assignments and priorities within general parameters determined by accepted legal practice and office policy, and monitors the progress of all tasks. This individual also meets, confers and develops internal relationships with University stakeholders regarding various contract needs and requests. The Contracts Manager is also responsible for drafting, reviewing, and negotiating various agreements including but not limited to: leases, service agreements, purchase agreements, consulting agreements, memoranda and letters of understanding, releases, donor agreements, healthcare facility affiliation agreements, marketing agreements, software subscription and license agreements, and assists with discovery and litigation case management, as requested, under the guidance and direction of the General Counsel.

RESPONSIBILITIES

  • Performs a variety of contract management functions by determining work priorities, initiating, developing, creating and preparing documents for attorney review, drafting leases, various contracts, releases, service agreements, purchase agreements, consulting agreements, marketing agreements, donor agreements, healthcare facility affiliation agreements, memoranda and letters of understanding, software subscription and license agreements, and managing agreement templates
  • Serves as a liaison between the General Counsel and internal and external University constituents
  • Maintains compliance with recognized ethical and professional standards
  • Contributes to the success of the networked campus by interacting with all levels of each business unit on campus in a professional, friendly, and collaborative manner
  • Uses networking to effectively troubleshoot and resolve problems, obtain information and expertise, deliver efficient and superior customer and client services, and to build relationships across the enterprise
  • Establishes and maintains close working relationships with internal clients to build a reputation for the Office of General Counsel as a campus-wide resource and trusted advisor
  • Safeguards the confidentiality of privileged information and legal documentation by exercising discretion in communicating information to faculty, students, staff, the legal community, and the various constituencies served by the University and by exercising discretion in handling legal and administrative records and files and similar confidential items
  • Serves as a liaison between the General Counsel and other administrators by relaying information accurately and assuring information is communicated in a timely manner
  • Ensures that legal agreements and other documents are correct and prepared properly by proofreading and reviewing for correctness
  • Ensures that the website of the Office of General Counsel is updated as necessary to ensure accuracy and current content
  • Manages the electronic legal ticketing system with its documents and records
  • Contributes to a work environment that encourages knowledge of, respect for, and development of skills to engage with those of other cultures or backgrounds
  • Remains competent and current through self-directed professional reading, developing professional contact with colleagues, attending professional development courses, and attending training and/or courses as required by the General Counsel


QUALIFICATIONS

  • Bachelor's degree and a minimum of four years of contract review and management experience in a business or government setting (i.e. employment by a corporation, government agency, or other business entity where contract drafting, review and management work was performed under the direction of a licensed attorney), OR an Associate's degree and a minimum of six years of contract review and management experience in a business or government setting are required
  • Prior experience with drafting and reviewing contracts, leases, and other legal documents/agreements is required
  • Keyboarding proficiency and computer application skills (word processing, spreadsheet, file management) required
  • Paralegal Certificate from an institutionally accredited paralegal program is preferred
  • Indiana Registered Paralegal status is preferred
  • Possession of a valid driver's license is preferred
